Terms & Conditions

Effective Date: [5th July 2026]

These Terms & Conditions apply to all new users and to existing users continuing to use Reelio on or after the effective date above. By accessing or using Reelio from that date, you acknowledge that you have read, understood and agree to be bound by these terms. If you do not agree, you should stop using Reelio before this date.

Reelio is a creator marketplace and commerce platform. Brands find and work with creators on paid campaigns, and creators sell their own products, courses and coaching calls from a single link in their bio. We've tried to set these terms out in their simplest, most accessible form here.

Important: These Terms include provisions that limit our liability, exclude warranties, remove any personal liability of our directors, officers, employees and shareholders, require you to indemnify us, and limit the time within which you may bring a claim. Please read sections 13 to 21 carefully.

1. Welcome to Reelio!

It's great to have you here. These Terms & Conditions, along with the linked policies ("Terms"), govern your use of our services, which include the Reelio website, our mobile apps, and related software or features (collectively referred to as the "Platform" or "Reelio").

When we use terms like "we", "our" or "us" in these Terms, we're talking about Reelio Digital Technologies Limited, a company registered in Nigeria, and our group companies.

By using Reelio, you're agreeing to these Terms. Please take the time to read them carefully, and feel free to get in touch if you have any questions. If you don't agree with these Terms, please don't use Reelio.

2. Changes to these Terms

Reelio is constantly evolving and improving. From time to time we may make changes to the Platform or these Terms, to reflect business updates, changes to the Platform, legal or commercial reasons, or otherwise to protect our legitimate interests. We can make these changes at any time and it's your responsibility to check these Terms now and then for any changes.

If we make a change that will have a material negative effect on you, as reasonably determined by us, we'll use our best efforts to notify you at least one (1) month before the change takes effect. Your continued use of the Platform after any changes to the Terms is taken as your acceptance of the revised Terms.

3. Your Account

To create an account and become a Reelio user, you must be at least 18 years of age. You must provide us with accurate information about yourself, and in some cases you may be required to verify your account, your identity or your connected third party accounts. You are responsible for keeping this information up to date, including your email address.

You are responsible for keeping your login details secure and for all activity that takes place under your account. You may close your account at any time, but closing your account does not cancel obligations under campaigns or deals you have already agreed.

4. Creators

As a creator, Reelio lets you set up a page and sell digital products, courses and coaching calls; browse and apply to live brand campaigns; manage brand proposals and negotiation in your deal inbox; and receive payouts, including local payouts in Naira.

You are responsible for the products you sell, for delivering what you have promised to buyers and to brands, and for any tax due on your earnings.

5. Brands

As a brand, Reelio lets you browse creators, approach them directly, publish campaign briefs, review the proposals that come in, track campaigns and pay creators through the Platform.

You are responsible for the accuracy of your brief, for reviewing and approving delivered work within a reasonable period, and for paying creators for work you have approved.

6. Campaigns and Deals

A campaign is agreed when a brand and a creator accept the terms shown in the deal. Those terms — including deliverables, rate, timing and the campaign target — form a contract between the brand and the creator. Reelio provides the Platform on which that contract is made and settled; we are not a party to it.

7. Campaign Caps

Performance-based campaigns are published with a defined target. Once a campaign reaches its target, the campaign closes and any views or other activity recorded after that point do not generate further payment.

This applies regardless of how quickly the target is reached, how many further views the content receives, or whether the content remains published. Continued performance beyond the target does not create an entitlement to additional payment, bonus or top-up.

Where a campaign involves more than one creator, the target applies to the campaign as a whole unless the brief states otherwise. Figures shown in the Reelio dashboard are the figures used to determine whether a target has been met and to calculate payment.

8. Payments and Payouts

Payments are processed through our payment partners. Payouts are made to the account you have verified on Reelio, in line with the payout schedule shown in your account. You are responsible for providing accurate payout details, and we are not liable for payments delayed or misdirected because of incorrect information supplied by you.

9. Fees

Any platform fees, subscription charges or payment processing costs are shown to you before you commit to them. We will give reasonable notice before changing our fees.

10. Content and Rights

You keep ownership of the content you upload to your own page and profile — such as your bio, media kit and the products you sell. By uploading it you grant Reelio a licence to host, store and display it for the purpose of operating the Platform.

Campaign content is different. Once a brand has paid for content created under a campaign or deal, full ownership of that content — including all intellectual property rights in it — transfers to, and is jointly owned by, Reelio Digital Technologies Limited and the commissioning brand. The creator assigns all right, title and interest in the paid content, including copyright and any related rights, to Reelio and the brand with effect from payment, and waives any moral rights in it to the fullest extent permitted by law.

This means Reelio and the brand may use, reproduce, adapt, edit, publish, distribute, promote and commercialise the paid content in any media, worldwide, without further payment or approval. The creator may not reuse, resell, licence or republish paid campaign content without the written consent of Reelio and the brand, except to display it as part of their portfolio or media kit on the Platform.

Until payment is made in full, ownership of campaign content remains with the creator, and neither Reelio nor the brand may use it beyond reviewing it for approval.

11. Acceptable Use

You must not use Reelio to break the law or infringe anyone else's rights; to post misleading, fraudulent or deceptive content; to artificially inflate views, engagement or other campaign metrics; to harass, abuse or impersonate others; or to interfere with the security or operation of the Platform.

Without limiting the above, you must not use Reelio to commit or facilitate any offence under the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, to infringe any right protected by the Copyright Act 2022, to process personal data other than in accordance with the Nigeria Data Protection Act 2023, or to sell or promote goods or services that are illegal in Nigeria or that require a licence you do not hold.

Enforcement. We may, at our sole discretion and without prior notice, remove any user content, restrict, suspend or terminate any account, preserve records, and disclose information about a user where we reasonably believe this clause has been breached, or where we are required to do so by law, court order, or a lawful request from the Nigeria Police Force, the Economic and Financial Crimes Commission, the National Data Protection Commission, or any other competent authority. We are not obliged to monitor user content, but we reserve the right to do so.

Notice and takedown. If you believe that content on Reelio infringes your rights or breaches this clause, send written notice to legal@joinreelio.com identifying the content, its URL, the right infringed or law breached, and a good-faith statement that your notice is accurate. We will review complete notices promptly and, where well-founded, remove or disable access to the content. Our decisions under this process are made in good faith on the information available and do not amount to a determination of legal rights between users.

12. Suspension or Termination of Your Account

We may suspend or close an account that breaches these Terms, that we reasonably believe is being used fraudulently, or where we are required to do so by law. Where it is reasonable to do so, we will tell you why.

13. Reelio is a Venue, Not a Party to Your Deals

Reelio operates as an intermediary and information society service provider under Nigerian law, including the Cybercrimes (Prohibition, Prevention, etc.) Act 2015 and the Nigeria Data Protection Act 2023. Reelio provides the Platform on which brands and creators find each other and transact. We are not an agent, employer, partner, joint venturer, broker or representative of any user. We do not create, commission, review or approve campaign content, and we do not guarantee the performance, conduct, honesty, solvency or suitability of any brand or creator.

Any contract for a campaign, deal, product or service is between the brand and the creator, or between the creator and the buyer. Any dispute arising from that contract is between those parties. You agree to pursue such disputes directly with the other party and not with Reelio.

We do not control brand budgets, brand behaviour, brand payment timelines, campaign outcomes, or whether a campaign proceeds at all. If a brand cancels, delays, withdraws, ghosts, or otherwise fails to complete a campaign or deal, that is a matter between the brand and the creator. Reelio has no obligation to compensate you, refund you, guarantee any minimum payment, cover lost earnings, or pay any fee in respect of a campaign that does not proceed or is cancelled for any reason.

You accept the risk that any brand or creator you deal with through the Platform may fail to perform, and you agree that this risk is not underwritten by Reelio.

14. Disclaimers

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, title, accuracy and non-infringement.

We do not warrant that the Platform will be uninterrupted, timely, secure or error-free; that defects will be corrected; that the Platform is free of viruses or other harmful components; or that any information, metric or figure displayed is complete or accurate at all times.

We make no representation, promise or guarantee regarding earnings. Nothing on the Platform, in our marketing, or in any communication from us is a promise or projection of income, sales, views, engagement, campaign approvals, brand interest, or business results. Any figures, examples or case studies shown are illustrative only and are not typical. Your results depend on factors outside our control.

We are not responsible for the content, conduct, products, services, representations or omissions of any user, brand, creator, buyer or third party, whether encountered on the Platform or elsewhere.

Reelio does not provide legal, tax, accounting, financial or investment advice. You are responsible for obtaining your own professional advice and for determining and paying any tax due on your earnings.

15. Third Party Services

The Platform relies on and integrates with third party services, including payment processors, banking partners, hosting providers, analytics tools and social media platforms. We are not responsible for the acts, omissions, availability, accuracy, fees, terms or security of any third party service, or for any loss arising from their failure, delay, suspension or change.

Metrics reported by social platforms may differ from the figures used by Reelio. Where they differ, the figures recorded in the Reelio dashboard govern payment calculations.

16. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. Subject to that:

To the maximum extent permitted by Nigerian law, our total aggregate liability to you arising out of or in connection with these Terms or your use of the Platform, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the total subscription fees (and only subscription fees) you have paid to Reelio in the two (2) months immediately before the event giving rise to the claim. For the avoidance of doubt, this cap does not include, and Reelio's liability will not be calculated by reference to, any campaign payments, product sales, payouts, transaction volumes, wallet balances or any other amounts flowing through the Platform. This cap applies per user and per two (2) month period, whether the claim is brought as one action or many.

Coordinated, class, joint or group claims. Where two or more users bring, threaten, coordinate or share information in support of related claims against Reelio arising from the same or connected facts, each user remains individually subject to the cap above, and Reelio's total aggregate liability across all such coordinated claims will not exceed twice the individual cap. Users may not aggregate their claims to defeat this limit. Where Reelio reasonably determines that users are colluding to bring claims — including by fabricating disputes, coordinating narratives, or filing claims in concert to inflate exposure — those claims are excluded from any recovery under these Terms, and Reelio may terminate the accounts involved and recover its costs of investigation.

Claims between users are excluded entirely. Reelio is not liable for, and this cap does not apply to (because no liability arises), any loss caused by another user's acts or omissions, including breach of contract, non-payment, cancellation, misrepresentation, defamation, infringement, or fraud by any brand, creator, buyer or third party. Your claim in respect of any such matter lies against that user, not against Reelio.

These limitations apply even if we have been advised of the possibility of such loss, and even if a limited remedy is found to have failed of its essential purpose.

17. No Liability of Directors, Officers, Employees and Shareholders

Reelio Digital Technologies Limited is a limited liability company. Its directors, officers, employees, contractors, agents, shareholders, investors and affiliates have no personal liability to you in connection with these Terms, the Platform, or any campaign, deal, product or payment made through it.

To the fullest extent permitted by law, you agree to bring any claim solely against Reelio Digital Technologies Limited, and you waive and release any claim against those persons in their personal capacity. Nothing in these Terms creates any personal obligation or guarantee on the part of any individual associated with the company.

This clause is intended to benefit those persons, and they may rely on it.

18. Indemnity

You agree to indemnify, defend and hold harmless Reelio Digital Technologies Limited and its directors, officers, employees, contractors, agents, shareholders and affiliates (the "Indemnified Parties") from and against any claim, demand, action, liability, loss, damage, cost or expense, including reasonable legal fees, arising out of or connected with:

19. Release

If you have a dispute with one or more users, you release the Indemnified Parties from any claim, demand or damages of every kind, known or unknown, arising out of or connected with that dispute. To the extent permitted by law, you waive any statutory provision that would otherwise limit the effect of this release to claims you know about at the time of agreeing to it.

20. Force Majeure

We are not liable for any failure or delay in performing our obligations where that failure or delay results from causes beyond our reasonable control, including acts of God, natural disaster, epidemic, war, civil unrest, industrial action, government action, currency restrictions, failure of banking or payment systems, telecommunications or internet failure, cyber attack, or the failure of any third party service.

21. Time Limit for Claims

To the fullest extent permitted by law, any claim arising out of or connected with these Terms or your use of the Platform must be brought within one (1) year of the date on which the claim arose. Claims brought after that period are permanently barred.

22. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Before commencing any formal proceedings, you agree to first contact us and attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days.

Subject to that, the courts of the Federal Republic of Nigeria have exclusive jurisdiction over any dispute arising from these Terms. You agree to bring claims only in your individual capacity, and not as a claimant or class member in any purported class or representative proceeding.

23. General

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, or severed, and the remaining provisions will continue in full force. Our failure to enforce any right is not a waiver of that right.

You may not assign or transfer these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets. These Terms are the entire agreement between you and us regarding the Platform, and supersede any prior agreement on the subject.

Clauses 6 to 21 survive termination of these Terms or closure of your account.
